2.3. Actual trading conditions are determined at the moment of concluding a contract with the client and are fixed in the wholesale supply agreement.

3. WHOLESALE TRADING OPERATIONS

3.1. The Company operates as a wholesale trading intermediary connecting Indonesian manufacturers with international buyers.

3.2. All trading operations are conducted on a contractual basis with clearly defined terms, volumes, and delivery conditions.

3.3. Minimum order quantities and wholesale pricing are determined individually for each client based on order volume and product category.

3.4. The Company does not guarantee the availability of specific products and reserves the right to refuse orders that do not meet minimum volume requirements.

4. LOGISTICS AND DELIVERY

4.1. Logistics services (warehousing, shipping, customs clearance) are provided through the Company's verified partner network.

4.2. Delivery terms, timelines, and costs are agreed upon separately in the supply contract and depend on the destination country and product category.

4.3. The Company is not responsible for delays caused by customs procedures, port congestion, force majeure events, or actions of third-party logistics providers.

5. PAYMENT TERMS

5.1. Payment terms are determined individually for each client and fixed in the supply contract.

5.2. Standard payment methods include bank transfer (T/T), letter of credit (L/C), and other methods agreed upon by the parties.

5.3. The Company reserves the right to require advance payment or bank guarantees for new clients or large-volume orders.

6. QUALITY ASSURANCE AND RETURNS

6.1. All products supplied by the Company meet Indonesian quality standards and international trade requirements.

6.2. Quality certificates and product documentation are provided upon request and in accordance with the supply contract.

6.3. Claims regarding product quality must be submitted in writing within 14 (fourteen) days from the date of receipt of goods.

6.4. The Company does not accept returns of products that have been improperly stored or used by the buyer.

7. INTELLECTUAL PROPERTY

7.1. All materials on the Website (texts, graphics, logos, product images, program code) are the property of PT Bunga Laut Indonesia and are protected by the Law of the Republic of Indonesia No. 28 of 2014 on Copyright.

7.2. Copying, reproduction, or use of Website materials without the written permission of the Company is prohibited.

8. LIMITATION OF LIABILITY

8.1. The Company acts as a wholesale trading operator and is not responsible for the quality of products manufactured by third-party producers.

8.2. The Company's maximum liability is limited to the value of the specific transaction in question.

8.3. The Company does not compensate for lost profits, indirect damages, or consequential losses arising from trading operations.

8.4. The Company is not responsible for losses arising from changes in legislation, currency exchange rates, or international trade regulations.

9. COMPLIANCE WITH LEGISLATION

9.1. The client confirms that:

• Has the right to conduct import-export operations in accordance with the legislation of their country
• Is not under international sanctions
• The sources of funds used for trading are legal
• Does not use the Company's services for money laundering or financing illegal activities

9.2. The client independently bears responsibility for compliance with the legislation of their jurisdiction, including customs declarations and tax payments.

10. DISPUTE RESOLUTION

10.1. All disputes arising from these Terms or trading operations are resolved through negotiations.

10.2. If disputes cannot be resolved through negotiations, they are submitted to the District Court of North Jakarta, Republic of Indonesia.

10.3. These Terms are governed by the laws of the Republic of Indonesia.

11. FORCE MAJEURE

11.1. The Company is not responsible for failure to fulfill obligations due to force majeure circumstances, including natural disasters, epidemics, military actions, government restrictions, port closures, and other events beyond the Company's control.

12. FINAL PROVISIONS

12.1. These Terms may be amended by the Company unilaterally. The new edition comes into force from the moment of publication on the Website.

12.2. Continued use of the Website after changes are made means acceptance of the new Terms.
